New Guidance and Election Application for the Optional PTET

The New York State Tax Department has just issued a technical memorandum TSB-M-21(1)C, (1)I, and has put up an accompanying webpage that provides information on the new, optional Pass-Through Entity Tax (PTET).

The PTET, under new Tax Law Article 24-A1, is an optional tax that partnerships or New York S corporations can choose to pay. The tax allows eligible pass-through entities to pay state income taxes at the entity level, and it is deductible for federal tax purposes. A partner or shareholder of a pass-through entity that elects to pay PTET is entitled to a credit against his New York personal income tax equal to his “direct share” of the PTET tax. This allows the taxpayer to bypass the $10,000 limitation on deduction of state and local taxes imposed in 2017 by The Tax Cuts and Jobs Act.

The option applies to tax years beginning on or after January 1, 2021, and the election must be made annually. For 2021, the deadline to make the election is October 15, 2021. For future tax years, the annual election may be made on or after January 1, but no later than March 15.

For 2021, an electing entity is not required to make any estimated tax payments for PTET. Starting 2022, quarterly estimates will need to be made in March, June, September and December.

The PTET Annual Election application can be accessed online, and if you are an authorized person representing your business, you can opt in to PTET through its Online Services account.

Roth&Co is pleased to announce the acquisition of E.C. Ortiz & Co., LLP, an accounting and financial services firm based in Chicago, Illinois, with 45 accounting professionals and over 40 years of experience.

The deal expands Roth&Co’s regional reach to the Midwest, and broadens their service capabilities to include governmental entities among a variety of deep financial specialties. As of July 1st, 2020, E.C. Ortiz will operate under the Roth&Co brand.

The acquisition increases Roth&Co’s headcount to 14 partners and over 160 accounting professionals, with offices now in New York, New Jersey, Illinois and Israel. Roth&Co is the recipient of Inside Public Accounting’s Fastest Growing Firm award in 2019.

Both Roth&Co and E.C. Ortiz carry a respectable legacy of accounting and financial services, with Roth&Co founded in 1978, and Ortiz in 1974. Roth&Co was founded by Abraham Roth to service the accounting needs of local businesses and the nonprofit community. Roth&Co is proud to announce the launch of its new Outsourced CFO Services, which provides a full suite of CFO services managed by an experienced and knowledgeable Controller.

As part of Roth&Co’s Outsourced CFO Services, a CFO/Controller will work directly with the business, in order to review the accuracy of their financial statements, assist in creating and implementing internal controls and policies and procedures, help them with financial planning, and manage the financial risk of their businesses.

Yona Strimber has joined the Roth&Co team as the lead Controller for this new service. Mr. Strimber has experience managing large client bases within many industries and providing tax and accounting consulting.

Top 300 Accounting Firm Roth & Company Announces Two New Partners

Roth & Company LLP, who this year celebrated 40 years as a top-tier accounting firm, announced the appointments of Rachel Stein and Hershy Donath as new partners to the firm.

As of 2019, Mrs. Stein will be promoted from Senior Manager, the position she currently holds in the firm’s Brooklyn office. Mr. Donath will be transitioning to Partner in Roth&Co’s Lakewood location. He comes from Ernst and Young, where he’s been operating as Executive Director in the firm’s audit practice.

Speaking on behalf of the firm’s existing Partners, Co-Managing Partner Mr. Zacharia Waxler says, ‘we constantly seek to acknowledge the dedication of our team members and reward them when appropriate. We are delighted to promote Rachel to Partner in the firm. She has been a valuable asset to Roth&Co over the last ten years, and continues to demonstrate an outstanding commitment to the firm’s growth and values, as well as consistently excelling in her work with clients.’

About Rachel
Mrs. Stein is a skilled accountant with extensive experience advising a variety of real estate, hospitality and wholesale distribution clients. She has developed close relationships with leading real estate owners and investors, and has been instrumental in generating effective solutions to critical tax issues in real estate transactions.
Rachel is also the firm’s expert advisor for foreign investors seeking to invest in the US, skillfully guiding them through the complexities of US tax compliance. She is proficient in coordinating US tax laws with foreign tax laws to create an optimal worldwide tax approach. In her role as partner, Rachel will continue to grow this area of the firm, working to extend the expertise and services clients will receive.

About Hershy
Mr. Donath is an accomplished accountant with 15 years of public accounting experience. He has most recently been working with large publicly traded REITs and privately held Real Estate Funds. Hershy also has valuable experience across a variety of industries, including, hospitality, media and entertainment, consumer products and alternative energy.

At Ernst and Young, Hershy was a member of the Northeast Region Quality Network, responsible for audit teams across the region. Hershy advised engagement teams on audit methodology and supported quality initiatives in response to the Public Accounting Oversight Board and internal quality reviews.

Roth&Co continues to grow its staff in order to meet the accounting needs of the community.

Roth&Co, Brooklyn’s largest accounting firm, continues its growth as it recently announced the addition of three new partners. Formerly Senior Managers; Moshe Schupper, Moshe Seidenfeld, and Ben Spielman have been with Roth&Co for over 10 years each, and have proven their commitment not only to Roth&Co’s values, but to the community and its needs. As of January 2017, they will join current partners Heshy Katz and Alan Botwinick, working together with Co-Managing Partners Abraham Roth and Zacharia Waxler.

Moshe Schupper, who was a manager in Roth&Co’s Assurance division, has a unique background which allows him to simultaneously look at a client’s situation from both the tax and financial statement perspectives. This multi-faceted approach helps Mr. Schupper navigate any issues or questions a client may have, and he brings this experience with him to all clients that he serves. Mr. Schupper said he was “honored to be admitted as a Roth&Co partner” and greatly appreciates this opportunity.

Moshe Seidenfeld helps his clients manage and understand the financial and tax compliance aspects of their businesses. Mr. Seidenfeld serves as a consultant to his clients and has established a solid reputation of excellence in servicing businesses beyond the books, by providing tax strategies and assisting clients to successfully navigate the business world. Moshe commented on his promotion “when you make sure to always have the best interests of your clients in mind, the results are typically optimal for everyone involved”.

Ben Spielman works in Roth & Co’s entrepreneurial services department. Mr. Spielman has extensive experience servicing the Real Estate, E-Commerce, and Health Care Industries. Mr. Spielman also serves on Roth & Co’s Banking Committee, alongside Mr. Seidenfeld, where they build relationships with banks to help secure financing for businesses. When asked to comment about his promotion, Mr. Spielman said “I am humbled by this honor, and will continue to put our clients and their needs first”.
